Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding contract between you (“you” or “User”) and Impera Budgeting, LLC, a Tennessee limited liability company (“ImperaBudget,” “we,” “us,” or “our”). By creating an account or using imperabudget.com, our mobile applications, or any related services (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

These Terms include a binding arbitration clause and a class-action waiver in Section 16. Please read them carefully. They affect your legal rights.

2. About the Service

ImperaBudget is a personal finance application that provides budgeting tools, transaction management, subscription tracking, debt strategy projections, and notification features. Some features rely on third-party services described in Section 11.

Not financial, investment, tax, or legal advice. The Service provides information and tools to help you manage your personal finances. Nothing in the Service constitutes professional financial, investment, tax, or legal advice. You are solely responsible for decisions you make based on information shown in the Service. Consult a qualified professional before making significant financial decisions.

3. Eligibility

You must be at least thirteen (13) years old to use the Service. You must be at least eighteen (18) years old, a resident of the United States, and able to enter into a binding contract to subscribe to a paid plan. By using the Service, you represent that you meet these requirements.

4. Account Registration

You agree to provide accurate information during registration and to keep it current. You are responsible for safeguarding your password and for activity that occurs under your account. Notify us immediately at security@imperabudget.com if you believe your account has been compromised.

You may not share your account credentials, transfer your account to another person, or maintain more than one account.

5. Subscription, Free Trial, and Auto-Renewal

Conspicuous Disclosure

THE FOLLOWING SECTION CONTAINS IMPORTANT INFORMATION ABOUT YOUR PAYMENT OBLIGATIONS, INCLUDING AN AUTOMATIC RENEWAL FEATURE. PLEASE READ CAREFULLY.

5.1 Free Trial

New users may receive a fourteen (14) day free trial. At the end of the free trial, your subscription will automatically begin and your selected payment method will be charged $15.00 per month, unless you cancel before the trial ends. We will send a reminder email at least three (3) days before the trial converts to a paid subscription.

5.2 Recurring Billing and Auto-Renewal

The subscription is $15.00 per month, billed monthly in advance, and automatically renews each month until you cancel. By subscribing, you authorize us to charge your selected payment method on a recurring basis until you cancel. Each renewal is at the then-current price.

5.3 How to Cancel

You may cancel at any time from Settings → Billing in the app, or by emailing support@imperabudget.com. Cancellation takes effect at the end of the current billing period, and you will retain access until that date. No partial refunds for unused time, except as required by law.

5.4 Refunds

Subscription fees are non-refundable except as required by applicable law. Residents of California, New York, and other states may have additional rights to a refund within a defined period after a renewal charge — see your state's auto-renewal law for details, or email support@imperabudget.com.

5.5 Price Changes

We may change subscription prices. We will notify you by email at least thirty (30) days before a price change takes effect. The new price applies to the next renewal after the notice period. If you do not agree, you may cancel before the change takes effect.

5.6 Failed Payments

If a payment fails, we may retry it for up to seven (7) days. If we cannot collect, we may suspend or terminate your access. You remain responsible for amounts owed.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Upload financial information that does not belong to you or that you are not authorized to use
  • Reverse-engineer, decompile, or attempt to extract source code, except as permitted by law
  • Use bots, scrapers, or other automated tools to access the Service except via official integrations
  • Bypass authentication, rate limits, or other security mechanisms
  • Send spam, phishing, malware, or harassing content through any feature of the Service
  • Resell, sublicense, or commercially exploit the Service without our written permission
  • Use the Service to violate the intellectual property, privacy, or other rights of any third party

We may suspend or terminate accounts that violate this Section.

7. Your Data and Content

You retain ownership of all data you upload, enter, or generate within the Service (“Your Content”). You grant us a non-exclusive, royalty-free, worldwide license to host, store, process, and display Your Content solely as necessary to operate the Service and provide it to you.

You can export Your Content at any time from Settings → Security and delete your account from the same screen. See our Privacy Policy for retention details.

8. AI Features

Some features (transaction classification, Smart Budget Import) use the Anthropic API to generate suggestions. AI output may be inaccurate, incomplete, or out of date. You are responsible for reviewing AI-generated suggestions before relying on them. Data sent to Anthropic for AI features is processed under the Anthropic API Commercial Terms, which prohibit retention for model training.

9. Our Intellectual Property

The Service, including its software, design, content, and trademarks, is owned by Impera Solutions Holding, LLC and licensed exclusively to Impera Budgeting, LLC. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. We reserve all rights not expressly granted.

You may not copy, modify, distribute, sell, or lease any part of the Service or its software, except as expressly permitted by these Terms or by law.

10. Notifications and Communications

By creating an account, you consent to receive transactional emails related to your account, billing, and security. With your consent, you may also receive product updates and SMS alerts.

SMS consent. If you opt in to SMS alerts, message and data rates may apply. Frequency varies based on account activity, typically fewer than three (3) messages per active user per year. You can opt out at any time by replying STOP to any message or by toggling SMS off in Settings → Notifications. For help, reply HELP or email support@imperabudget.com.

11. Third-Party Services

11.1 Plaid

If you choose to connect a bank or credit card account, you authorize Plaid Inc. to retrieve your financial information on our behalf. Plaid's privacy policy applies to information Plaid collects directly. We are not responsible for the practices of Plaid or your financial institution. The Plaid End User Services Agreement and Privacy Policy are available at plaid.com/legal.

11.2 Stripe

Subscription payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service and privacy policy at stripe.com/legal.

11.3 Other Third Parties

The Service may link to third-party websites and services. We do not control them and are not responsible for their content, practices, or terms.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF FINANCIAL DATA RETRIEVED THROUGH PLAID OR ENTERED MANUALLY. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ACCOUNT BALANCES AND TRANSACTIONS WITH YOUR FINANCIAL INSTITUTION.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPERA BUDGETING, LLC, ITS PARENT, AFFILIATES, OFFICERS, MEMBERS, AND EMPLOYEES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Impera Budgeting, LLC and its parent, affiliates, officers, members, and employees from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (i) your use of the Service, (ii) your violation of these Terms, (iii) your violation of any law or third-party right, or (iv) Your Content.

15. Termination

You may terminate this agreement at any time by deleting your account. We may suspend or terminate your access if you violate these Terms or for legitimate business reasons, with notice when reasonably possible. Sections that by their nature should survive termination (including Sections 7, 9, 12, 13, 14, 16, and 17) will survive.

16. Dispute Resolution and Arbitration

Conspicuous Disclosure

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF MOST DISPUTES AND LIMITS YOUR RIGHTS TO BRING A LAWSUIT IN COURT OR PARTICIPATE IN A CLASS ACTION.

16.1 Informal Resolution

Before filing arbitration, you agree to email legal@imperabudget.com with a description of the dispute. We will try to resolve the dispute informally within sixty (60) days.

16.2 Binding Arbitration

If informal resolution fails, you and ImperaBudget agree to resolve any dispute arising out of or related to these Terms or the Service through binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in the State of Tennessee, or remotely if both parties agree, before a single arbitrator. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

You and ImperaBudget agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate claims and may not preside over any class proceeding.

16.4 Exceptions

Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction. Either party may seek injunctive relief in court for intellectual property infringement.

16.5 Opt-Out

You may opt out of this arbitration agreement by emailing legal@imperabudget.com within thirty (30) days of first creating your account, with the subject line “Arbitration Opt-Out” and your full name and account email. Opting out does not affect any other provision of these Terms.

16.6 Right to Reject Future Changes

If we materially change this arbitration section, you may reject the change by emailing legal@imperabudget.com within thirty (30) days of the change taking effect, in which case your account will continue to be governed by the prior version of this Section 16.

17. Governing Law and Venue

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. For disputes not subject to arbitration, the exclusive venue is the state and federal courts located in Williamson County, Tennessee. You waive any objection to that venue.

18. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or in-app notification at least thirty (30) days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.

20. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ImperaBudget regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, financing, or sale of assets.
